Terms of Use

1. Acceptance

By accessing or using the Folio platform operated by Folio ("we", "us"), you agree to these Terms of Use. If you do not agree, do not use the platform.

2. The service

Folio is a legal BD platform for managing directory submissions, award entries, pitches, credentials, and contacts. It provides tools for data entry, AI-assisted drafting, referee management, deadline tracking, collaborative review, relationship intelligence (built from connected Microsoft 365 mailboxes), and contact enrichment. Access is granted by invitation only.

3. Accounts and access

  • Access is granted by an administrator and may be revoked at any time.
  • You are responsible for maintaining the security of your account credentials.
  • You must not share your access with unauthorised individuals.
  • Client (Partner) accounts are scoped to a single firm and may only access that firm's data.

4. Your data

You retain ownership of all firm data, submission content, and other materials you enter into the platform. By using the service, you grant us a limited licence to process this data solely for the purpose of providing the service, including AI-assisted features and the relationship-intelligence and enrichment features described in section 5.

5. Relationship intelligence, Microsoft 365 & enrichment

  • Microsoft 365. If you connect Microsoft 365, you confirm you are authorised to do so. We read mailbox and calendar metadata (addresses, subjects, a short preview, timestamps — not full bodies or attachments) to build a relationship graph that is strictly private to your firm and never shared with other firms.
  • Enrichment. The platform sends a contact’s business email (and, for the optional AI lookup, their work domain) to third-party enrichment subprocessors and a public web search to retrieve public professional information. This is enabled by default; a firm administrator can disable it, and you can opt any contact or organisation out. By leaving it enabled you confirm your firm is authorised to send its contacts’ business-contact data for this purpose.
  • Shared knowledge base. Public, broker- and AI-sourced professional facts (e.g. job title, employer, public profile links) and surface-level identity that we obtain may be retained in a shared, cross-firm knowledge base to improve and speed up future lookups. This shared data contains no firm attribution and no relationship data, and never indicates that any particular firm knows or works with a person. We do not contribute your firm’s private relationship data (mailbox/calendar history, scores, or notes) to it. You grant us a non-exclusive licence to use such public facts for this purpose; erasure requests remove the relevant entry.

6. Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose.
  • Attempt to access data belonging to other firms or users.
  • Reverse-engineer, scrape, or interfere with the platform's operation.
  • Submit false or misleading information to legal directories through the platform.

7. AI-generated content

AI-assisted drafts are provided as suggestions. You are responsible for reviewing, editing, and approving all content before submission to any legal directory. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

8. Confidentiality

We treat all firm data as confidential. Work highlights marked as confidential within the platform will not be included in publishable submission sections. However, you are responsible for verifying the confidentiality settings of your data before approving submissions.

9. Availability

We aim to keep the platform available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability.

10. Limitation of liability

To the fullest extent permitted by law, Folio shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including missed directory deadlines, inaccurate submissions, or loss of data.

11. Changes

We may update these terms from time to time. Continued use of the platform after changes constitutes acceptance of the revised terms.
